Essay on selecting a technology consulting company.
In the event, I ever opened a business, I would want to form and open a technology consulting limited liability company (LLC). Several factors about the topics we covered this week went into this decision: liability protection, tax flexibility, operational efficiency. As a small to medium sized firm that is doing consulting, the LLC structure offers the balance of the corporate liability protection and partnership tax benefits.
Limited liability protection is a huge reason why LLCs are chosen (LO 8–1, LO 8–6). While sole proprietorships or general partnerships don’t protect your business assets from personal legal claims or business debts, an LLC does. And it is especially important in the consulting industry, a world where professional advice leads to litigation. Also, unlike C corporations, an LLC does not face the double taxation, because the profits and losses flow through to the personal tax returns of the owners (LO 9-1, LO 9-7). This fits with the idea of revenue recognition, in which income is stated when earned rather than when the company receives money and therefore is shared with stakeholders in a clearer manner. (Renaldo & Sevendy 2023).
Perhaps the other benefit of the LLC is operational flexibility (LO 8-2, LO 8-7). An LLC, unlike a corporation, doesn't require that you have a board of directors, there can't be shareholder meetings and there can't be any great record keeping. A consulting business, however, benefits here, as it means being agile and adopting to the client needs. In addition, the limited liability company (LLC) affords the opportunity for multiple types of ownership interests as in the case of preferred and common stock (LO 8-2), while dispensing with the formality of its structure. One of the greatest flexibilities found with LLCs is in this profit distribution which is not tied to the percentages of ownership between members.
From a financial reporting point of view, an LLC’s equity structure is easier than that of a corporation (LO 8-5 and LO 8-9). Because treasury stock, accumulated other comprehensive income and noncontrolling interest need not be accounted for, there is greater simplicity. However, member contributions and distributions are simply recorded directly in the equity section, leading to easier financial statement analysis for investors and creditors (LO 9-10). Even then the statement of cash flows made under the indirect method would still have been needed to see operations, investment and financing activities, but without corporate equity transactions. (Donelan & Liu 2021).
Finally, an LLC represents the best business entity for a technology consulting firm, for the liability protection, tax benefits and simplicity of operations. This choice is supported by revenue recognition, equity presentation and financial reporting flexibility concepts in order to comply with accounting standards and promote business efficiency.
